About Downtown Fredericton Inc. (DFI):
Downtown Fredericton Inc. (DFI) is a non-profit Business Improvement Area (BIA) organization dedicated to promoting, supporting, and advocating for downtown businesses and fostering a vibrant community. Our vision is to achieve recognition as one of the nation’s best downtowns!
Located on traditional Wolastoqey territory, along the banks of New Brunswick’s Saint John River, Downtown Fredericton has been the commercial and cultural hub of the capital city since its founding over two centuries ago. Blending historic charm and modern amenities, entrepreneurialism, craftsmanship and advanced technologies, Downtown Fredericton continues its legacy as the city’s vibrant centre for commerce, culture, and community.
Role Overview:
Downtown Fredericton Inc. is seeking individuals passionate about community development, economic revitalization, and fostering a dynamic urban environment to join its Board of Directors. As a Board Director, you will play a vital role in guiding the strategic direction of DFI and ensuring its mission is fulfilled effectively.
DFI’s Board of Directors includes individuals with a diverse range of backgrounds, experiences, skill sets, and industries that reflect Downtown Fredericton’s growing and evolving business community.
Key Responsibilities:
- Governance: Provide oversight and strategic direction to DFI in alignment with its mission and objectives.
- Policy Development: Participate in the development and review of policies and procedures to support the effective operation of DFI.
- Financial Oversight: Review and approve budgets, financial statements, and reports to ensure fiscal responsibility and accountability.
- Advocacy: Advocate for the interests of downtown businesses, property owners, and stakeholders within the community and with relevant authorities.
- Networking and Partnerships: Cultivate and maintain relationships with public and private sector partners, fostering collaboration and support for DFI’s initiatives.
- Community Engagement: Act as an ambassador for DFI within the community, engaging with stakeholders and the public to promote downtown Fredericton.
- Committee Participation: Serve on committees as assigned, contributing expertise and insights to specific areas of focus such as funding, events, advocacy and more.
Expectations:
- Attendance: up to 10 meetings of the Board per year (scheduled in advance, monthly), and committee meetings on an as-needed basis.
- Engagement: read monthly Board reports and other relevant documentation, perform oversight and good governance, attend events and champion downtown.
- Confidentiality: ensure sensitive information and discussions are treated confidentially and provide trusted advice to guide the organization well.
- Stewardship: put the interests of Downtown Fredericton Inc. first and foremost in your capacity as a Board director, acting as a fiduciary of the organization.
Qualifications:
- Must be a Member or the Proxy of a Member of Downtown Fredericton Inc.
- Must have attained the age of majority.
- Ability to commit to a two-year term and meet responsibilities and expectations as outlined above.
Desired Attributes:
- Passion for downtown revitalization, economic development, and community engagement.
- Demonstrated leadership experience in business, nonprofit, or community organizations.
- Strong communication, collaboration, and decision-making skills.
- Individuals with professional experience as lawyers, Chartered Professional Accountants, lobbying and government relations are of particular interest to the organization at this time.
Term of Office:
Directors shall hold office for a term of two years from the date of their election, with the possibility of re-election for subsequent terms.
Compensation:
This is a volunteer position. Directors shall serve without remuneration, but reasonable expenses incurred in the performance of duties may be reimbursed.
